1. Acceptance of Terms

By accessing or using Quantix Labs' services, including but not limited to AutoPro, ShiftMate, VocaLink, and SkyComms (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Services.

2. Description of Services

Quantix Labs provides industry-specific software solutions designed to streamline operations:

• AutoPro: Auto repair shop management system
• ShiftMate: Construction crew scheduling and management
• VocaLink: AI-powered voicemail and communication tools
• SkyComms: Satellite communication solutions

These Services are provided on a Software-as-a-Service (SaaS) basis and may include web applications, mobile applications, APIs, and related services.

3. User Accounts and Registration

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services
• Use the Services for any unlawful or fraudulent purpose
• Reverse engineer, decompile, or disassemble our software

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference. We collect, process, and store data in accordance with our Privacy Policy and applicable data protection laws.

You retain ownership of your business data. We will not use your data except as necessary to provide the Services or as required by law.

6. Payment Terms

Our Services are offered on a subscription basis. Payment terms include:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Failure to pay may result in service suspension or termination
• You are responsible for all taxes related to your use of the Services

7. Intellectual Property

The Services and all related technology, software, and content are the exclusive property of Quantix Labs or its licensors. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Services as intended.

8. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect service availability. We will provide reasonable notice of planned maintenance when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTIX LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO QUANTIX LABS IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate these Terms at any time. Upon termination:

• Your access to the Services will cease
• We will provide you with a reasonable opportunity to export your data
• We may delete your data after a reasonable retention period
• Sections that by their nature should survive termination will remain in effect

11. Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of British Columbia.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.
